1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and Infinitic Consultancy Ltd ("we", "us"), registered in England and Wales (Company Number: 10595903), registered office: 128 City Road, London, EC1V 2NX.

By accessing infiniticservices.com, engaging our professional services, or using our software products, you agree to these Terms. These Terms should be read with our Privacy Policy. If you do not agree, you must not use our website or services.

2. Definitions

"Services" means our professional consultancy including information governance, data protection, GDPR compliance, NHS DSPT assessment, Cyber Essentials certification, DPO-as-a-Service, and IG training. "Products" means our software platforms IG Helpdesk and DataPro. "Content" means all materials on the website including articles, guides, and training materials. "Intellectual Property Rights" means all patents, copyrights, design rights, trade marks, database rights, and other IP rights whether registered or unregistered.

3. Use of the Website

You are granted a limited, non-exclusive, revocable licence to access and use the website for lawful purposes. You must not: violate any law; gain unauthorised access to our systems; use automated scrapers without consent; introduce malicious code; impersonate the Company or any person; reproduce or resell any part of the website without written permission; or transmit unsolicited advertising.

Where account registration is required, you agree to provide accurate information, maintain password security, and notify us immediately of any unauthorised use. You are responsible for all activity under your account.

4. Professional Services

All services are provided pursuant to a Statement of Work ("SOW"), proposal, or service agreement. Where a signed SOW conflicts with these Terms, the SOW prevails. Our services are advisory in nature and do not constitute legal advice unless expressly stated.

To enable effective delivery you agree to: provide timely and accurate information; make appropriate personnel available; make decisions promptly; comply with applicable laws; and implement recommendations at your own discretion and responsibility. We will perform services with reasonable care and skill using appropriately qualified personnel.

5. Software Products

Subject to payment of applicable fees, we grant a limited, non-exclusive, non-transferable licence to access and use our Products for internal business purposes during the subscription period. You shall not: sublicense, sell, or transfer the Products; modify or reverse engineer any part; build competitive products; or remove proprietary notices.

We will use commercially reasonable efforts to maintain availability 24/7 excluding planned maintenance. You retain all rights in data you input. Upon termination, your data will be available for export for 30 days.

6. Fees and Payment

All fees are quoted exclusive of VAT unless otherwise stated. Invoices are payable within 30 days. We reserve the right to charge interest on overdue amounts at 8% per annum above the Bank of England base rate (Late Payment of Commercial Debts (Interest) Act 1998). Pre-approved expenses are invoiced at cost. Fees for completed work are non-refundable. Training cancellations less than 5 business days before the scheduled date are non-refundable, though substitution of attendees is permitted.

7. Intellectual Property

All Intellectual Property Rights in the website, Products, Content, and deliverables remain the exclusive property of Infinitic Consultancy Ltd or our licensors. Unless agreed in a signed SOW, deliverables (policies, assessments, reports) are licensed to you on a non-exclusive, non-transferable basis for internal use only. We retain ownership of our methodologies, templates, frameworks, and know-how.

You retain rights in data you provide. Any Feedback you give us is assigned to us and we may use it without obligation.

8. Confidentiality

Each party agrees to hold the other's Confidential Information in strict confidence, not to disclose it without prior written consent, and to use it solely for purposes of these Terms. These obligations do not apply to information that becomes publicly available, was known before disclosure, is independently developed, or must be disclosed by law.

9. Limitation of Liability

Nothing limits liability for death, personal injury caused by negligence, fraud, or other liability that cannot be excluded by law. Subject to this, our total liability shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental, or punitive losses, loss of profits, revenue, or data.

10. Governing Law

These Terms are governed by the laws of England and Wales. You submit to the exclusive jurisdiction of the courts of England and Wales.
